The distribution was paid to HPT’s common shareholders of record as of the close of business on November 27, 2015 and distributed on December 14, 2015. Each common shareholder of HPT entitled to receive RMR shares in the distribution received 0.0166 of a share of Class A Common Stock of RMR for each common share of beneficial interest of HPT held and each registered shareholder and Depositary Trust Company participant received cash, without interest, in lieu of any fractional RMR share that it was otherwise entitled to receive as a result of the distribution.
